These Terms of Service ("Terms") govern your access to and use of JoPay's website, mobile application, and payment services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.
Important: Please read these Terms carefully. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. About JoPay
JoPay provides a digital payment platform that enables customers to open tabs, make payments, and pay automatically at participating venues. The Service is operated by JoPay, based in Lisbon, Portugal.

2. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- Have a valid payment method
By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Account Registration
3.1 Creating an Account
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 One Account Per Person
You may only maintain one personal account. We reserve the right to terminate duplicate accounts.
4. The Service
4.1 For Customers
JoPay allows you to:
- Check in at participating venues and open a digital tab
- View charges added to your tab in real-time
- Split tabs with friends
- Pay automatically when you leave the venue (if enabled)
- Add tips to your payment
- View your transaction history and receipts
4.2 For Businesses
JoPay allows businesses to:
- Accept payments from JoPay customers
- Manage digital tabs for customers
- Use the Checkout API for custom integrations
- Receive payouts to their bank account
- Access analytics and reporting
5. Payments and Fees
5.1 Payment Processing
Payments are processed by Stripe, our third-party payment processor. By using the Service, you also agree to Stripe's Terms of Service.
5.2 Authorization Holds
When you open a tab, we may place an authorization hold on your payment method. This hold is not a charge but reserves funds for your potential purchase. The hold is released when you close your tab or after payment is processed.
5.3 Automatic Payment
If you enable automatic payment, your tab will be charged when you leave the venue (based on your location). By enabling this feature, you authorize JoPay to charge your payment method for the tab total plus any tip you've set.
5.4 Fees for Customers
JoPay is free for customers. There are no fees to open tabs or make payments.
5.5 Fees for Businesses
Businesses pay a transaction fee of 2.4% + €0.45 per successful transaction. Fees are deducted automatically from each transaction before payout. See our Pricing page for details.
5.6 Payouts
Businesses receive payouts to their registered bank account within 2-3 business days after a transaction is completed.
6. Refunds and Disputes
6.1 Refund Requests
Refunds are handled by the venue where you made the purchase. Contact the venue directly for refund requests. JoPay facilitates the refund process but does not determine refund eligibility.
6.2 Payment Disputes
If you believe a charge is incorrect, contact us at support@jopay.me within 30 days. We will investigate and work with the venue to resolve the issue.
6.3 Chargebacks
Fraudulent chargebacks may result in account suspension. If you have a legitimate dispute, please contact us first before initiating a chargeback with your bank.
7. Prohibited Uses
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to defraud JoPay, venues, or other users
- Provide false or misleading information
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service to launder money or finance illegal activities
- Resell or commercially exploit the Service without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
8. Intellectual Property
The Service, including all content, features, and functionality, is owned by JoPay and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
"JoPay" and the JoPay logo are trademarks of JoPay. You may not use our trademarks without permission.
9. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the quality, safety, or legality of goods or services purchased through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.
12. Indemnification
You agree to indemnify, defend, and hold harmless JoPay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
13.1 By You
You may close your account at any time by contacting us. You remain responsible for any outstanding payments or obligations.
13.2 By Us
We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, suspected fraud, or extended inactivity.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) will remain in effect.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of Portugal. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.
If you are a consumer in the European Union, you may also bring proceedings in your country of residence, and you benefit from any mandatory provisions of your local consumer protection laws.
15. Dispute Resolution
We encourage you to contact us first at support@jopay.me to resolve any disputes informally. If we cannot resolve a dispute, you may pursue formal legal action as described above.
EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/odr.
16. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes affecting your rights, we may also send you an email notification.
Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
17. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and JoPay.
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
- Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
